CITY <br /> LEASE AMENDMENT No.3 <br /> This Amendment No. 3 ("Amendment") for reference purposes is dated 2-/-7// 9 , <br /> 2019, by and between City of Everett, a Washington State municipal corporation, <br /> "Lessor" and Everett Physical Therapy And Sports Performance Center, LLC, a <br /> Washington Limited Liability Company, "Lessee". This Amendment No. 3 concerns the <br /> lease between Lessor and Lessee dated October 15, 2003, as amended by Lease <br /> Amendment No. 1 dated May 10, 2011, and Lease Amendment No. 2 dated October 14, <br /> 2013, (as so amended the "Lease"). The parties desire to renew the Lease and revise the <br /> option and premises provisions of the Lease. <br /> Accordingly, the parties agree as follows: <br /> 1. Premises. In addition to the Premises as described under the Lease, Lessee shall <br /> have the use of an additional space within the janitor's closet as depicted on Exhibit <br /> A (attached hereto and incorporated by reference) for the installation of laundry <br /> facilities for Lessee's use. <br /> 2. Amendment of Option to Extend. The portion of Lease Section 5 that reads: <br /> 5. OPTION TO EXTEND: Lessee is hereby given the option to extend the term of <br /> this Lease in accordance with all of the provisions contained in this Lease, except <br /> rent, for two five (5)year terms ("Option Term One" and "Option Term Two'), by <br /> giving written notice of exercise of the option ("Option Notice') to Lessor six (6) <br /> months or more prior to expiration of each term. Failure to provide the required <br /> Option Notice for Option Term One shall result in the termination of this Lease <br /> upon the expiration date of this initial term or in the case of failure to provide the <br /> Option Notice for Option Term Two, then this Lease shall terminate at the end of <br /> Option Term One. " <br /> Is replaced with: <br /> 5. OPTION TO EXTEND: Lessee is hereby given the option to extend the term of <br /> this Lease in accordance with all of the provisions contained in this Lease, except <br /> rent, for four five (5) year terms, ("Option Term One" thru "Option Term Four'). <br /> For clarity, this means that at maximum, the Lease could be extended until the end <br /> of Term Four(December 31,2028). Each Option Term renewal shall be automatic, <br /> unless Lessee provides written notice to Lessor of Lessee's intention not to renew <br /> this Lease no less than sixty (60) days prior to the expiration of the current Option <br /> Term in effect. <br /> 3. Option Term Three: Lessee and Lessor agree to renew the Lease by exercising <br /> Option Term Three, as provided for in this amendment, which shall commence on <br /> January 1, 2019, and shall expire on December 31, 2023. <br /> Lease Amendment No.3 <br /> 1 of 4 <br />
