*BLACK BOX <br /> 6. Project Responsibilities <br /> 6.1 Project Assumptions <br /> In order to facilitate the timely and successful delivery of the engagement, Black Box assumes the following: <br /> • Black Box assumes that the client's existing systems are in proper and functional working order. Any issues or <br /> delays resulting from a malfunction of the system that causes Black Box to troubleshoot the preexisting <br /> condition for more than 1 hour is considered to be out of scope <br /> • Any advanced or new features not specific in this Statement of Work should be considered out of scope <br /> • Appropriate outage windows will be required <br /> • All work will be completed during normal business hours unless stated otherwise in the Statement of Work. <br /> Cutovers will be scheduled for after-hours. <br /> • Black Box is not responsible for the following: <br /> o Troubleshooting specific user-related login or functionality issues rooted in devices or applications not <br /> provided by Black Box Network Services(Microsoft Active Directory, Microsoft Exchange, DNS, DHCP, <br /> PCs or Mobile devices) <br /> o Troubleshooting functionality over remote access VPNs <br /> o Troubleshooting performance issues due to thin clients and/or the VMware environment <br /> • Any equipment not purchased from Black Box will be available and ready for use at the start of this engagement. <br /> 6.2 Client Responsibilities <br /> • Properly executed contracts, schedules and deposit as specified in Schedule A, attached. <br /> • Change Control Approval for Scheduled Outages as required. <br /> • Access to all areas of the site(s) as required. <br /> • Provide an appropriate workspace for Black Box Network Services personnel to work on site. <br /> • Responsibility for compliance with any and all licensing agreements and/or copyright laws for software being <br /> implemented for this project as outlined by the software's manufacturer. <br /> • Notify Black Box Network Services of any special requirements to work or operate within the facility and provide <br /> at their own expense any training required for Black Box Network Services personnel. This includes but is not <br /> limited to any clothing, cleaning, or safety rules or regulations that Black Box Network Services must follow in <br /> order to operate during their time on site. <br /> • Secure IP-based access to all systems for remote maintenance and administration (VPN, SSL, etc.).This access <br /> may remain disabled when not needed and activated as required on request by BBNS. <br /> • Designated point of contact with in-depth knowledge of NEC telephony requirements and the authority to make <br /> decisions regarding configurations, usage policies, equipment allocations, etc. <br /> • Coordination of local network support as required. <br /> • Provide supported server and client servers/PC's with supported operation system software. <br /> 6.3 Black Box Network Services Responsibilities <br /> • NEC Professional Services will remotely upgrade system and peripheral systems as described in Schedule A, <br /> attached. <br /> o MA4000 <br /> o MTS <br /> • Dedicated Project Manager for scheduling and project management. <br /> • Upgrade, configuration and programming of the Applications listed above. <br /> • Interoperability and acceptance testing of systems listed above. <br /> • Cutover and commissioning of the systems. <br /> Statement of Work Page 19 April 23, 2019 <br />
