(a) Personnel. Vera P.C. shall have exclusive authority for selection of <br /> all personnel working in or for the Clinic, subject to the following: <br /> (i) With regard to selection of Providers only, prior to <br /> employment of any Provider, Vera P.C. shall provide the Employer with the identity and work <br /> history and background check results of such prospective Provider. Employer shall review all <br /> materials supplied by Vera P.C., and unless Employer's HR Director decides a meeting is not <br /> necessary, the parties shall cooperate to schedule a meeting with prospective Provider, Vera P.C. <br /> and Employer representative(s) as soon as reasonably possible. <br /> (ii) Employer's HR Director shall have two (2) business days <br /> from either: (a) the date of receipt of the Provider information (if the HR Director determines no <br /> meeting is necessary), or(b)the date of the meeting to reject the selection of such Provider, or the <br /> Provider shall be deemed accepted by Employer. <br /> (iii) In the event that Employer rejects Vera's P.C.'s selection, <br /> the parties shall work diligently to identify alterative Providers and the above selection process <br /> shall be repeated; provided that, for each hiring of each position Employer may only reject a <br /> maximum of three (3) prospective Providers choices made by Vera P.C.. After rejection of the <br /> third selection, Employer shall accept Vera's P.C.'s subsequent selection of a Provider. <br /> (iv) Vera and Vera P.C. shall not discriminate against any <br /> employee or applicant for employment on the basis of race, color, religion, sex, age, disability, <br /> marital state,or national origin or any other protected classification set forth in applicable federal, <br /> state, or local law relating to equal employment opportunity. <br /> (b) Removal of Providers. If Employer provides Vera with a written request to <br /> remove a Provider, specifying a reasonable basis for removal, Vera P.C. and Employer shall <br /> cooperate regarding the removal within a time frame mutually agreed upon by the Parties <br /> ("Removal By Employer"); provided however, except in the case of Provider misconduct (in <br /> which case such Provider shall be removed immediately), all other removals shall proceed in a <br /> manner that does not adversely affect patient care or Service at the Clinic. In the event of a <br /> Removal By Employer,the Employer shall reimburse Vera P.C.for all costs of hiring and training <br /> a replacement, as well as any increased costs of engaging an interim Provider. Prior to such <br /> removal of a Provider, Vera shall provide a written estimate of these costs to Employer and shall <br /> not proceed without the written approval of the Employer's HR Director. In the event a Provider <br /> leaves voluntarily, or is removed for misconduct, then Vera P.C. shall pay all costs of hiring and <br /> training a replacement,as well as any increased costs of engaging an interim Provider.In the event <br /> a Provider is removed by Vera P.C. and Employer jointly (without misconduct), then Vera P.C. <br /> and Employer shall each pay one-half of all costs of hiring and training a replacement, as well as <br /> any increased costs of engaging an interim Provider. <br /> 5 <br />
