(c) Other Vera Responsibilities. Vera shall also be responsible for all <br /> operational aspects oftClinic including without limitation: (i) accounting and financial; (ii) <br /> inventory and supplies; ( ii) collections and payments (including without limitation payment of a <br /> portion of the Fees to era P.C.; (iv) maintenance of all Participant files and records; (v) <br /> information technology and computer hardware, software, network support at the Clinic, and (vi) <br /> clerical and administrative office services at the Clinic. <br /> (d) Employer Responsibilities. Employer shall be responsible for the <br /> following: <br /> (i) integrate the provisions of this Agreement and the Clinic <br /> arrangement into the Employer's health plan and associated documents provided to Participants <br /> (Vera has reviewed Employer's plans for integration into Employer's health plan and agrees that <br /> such plans once implemented satisfy this subsection(i)); <br /> (ii) make all amendments, disclosures and reports required by state or <br /> federal law in connection with Employer's health plan and associated documents. <br /> (iiij as soon as reasonably practicable, but in no event later than sixty <br /> (60)days prior to the Clinic opening date, and after the Clinic opening date,no later than the first <br /> (1st) day of each calendar month during the Term, Employer shall provide to Vera an accurate <br /> list of the identities and associated personal information of all Participants,ALL AS DESCRIBED <br /> IN DETAIL IN EXHIBIT I ("Participant List"). Employer is wholly responsible for the accuracy <br /> of the Participant List and Vera will rely on the Participant List for its billing under this Agreement <br /> and for its record keeping. If the Participant List is inaccurate, Vera will incur costs associated <br /> with correcting its EMR,billing and record keeping systems. If Employer or Vera discovers that <br /> a Participant List is inacctirate,the discovering party shall promptly notify the other in writing as <br /> to how the Participant List is inaccurate ("Initial Notice"). If the inaccuracy resulted in an over- <br /> payment of fees hereunder, Vera shall provide to Employer a credit for the amount of any over- <br /> payment against the last payment due under the Agreement. If the inaccuracy resulted in an <br /> under-payment of fees he eunder, Vera shall add such amount on the next billing to Employer. <br /> The parties agree that the maximum amount of adjustment (for under or over-payment) shall be <br /> the amount in error on th Participant List for a 3-month period. If the inaccuracies continue 30 <br /> days after the Initial Notice, Vera shall give written notice to Employer ("Second Notice"), and <br /> promptly after such notice a Vera representative and Employer's HR Director will meet in-person <br /> to resolve the situation. <br /> (iv) prior to the opening of the Clinic, provide Vera with a current, <br /> updated summary of the Employer health plan and benefits it provides to Participants, and during <br /> the Term, provide Vera with any amendments to such plan information at least thirty (30) days <br /> prior to the effective date of any such amendments. <br /> 6 <br />
