"B"=Total number of Other Key Provider Visits with Employer Participants at Vera clinics other than the Clinic during preceding quarter "C"=Total number of all City Key Provider visits at the Clinic during preceding quarter "Other Employer Overuse Factor"=(A-B)/C After the first 180 days from the Services Commencement Date, if the Other Employer Overuse Factor is a positive number greater than .05 for two consecutive quarters,then Vera, within 30 days,will take some or all of the following steps : • Restrict scheduling of non-Employer persons at the Clinic with City Key Providers. • Provide additional Key Provider(s)for the Clinic at no cost to Employer • Other steps mutually agreed by Vera and Employer If at any time a City Key Provider at the Clinic is not completely paid for by Reimbursable Charges (for example, an ARNP becomes 0.75 FTE at the Clinic, with Employer paying 0.5 FTE as Reimbursable Charges and Vera or some person other than Employer paying the remaining 0.25 FTE), then Vera and Employer will reasonably adjust the calculation of the Other Employer Overuse Factor to take that into account. This adjustment will be memorialized in a letter agreement between Employer and Vera, with the Employer's HR Director signing on behalf of Employer. ii. Closed Clinic Option. In addition, Employer may at any time its sole discretion determine that the Clinic should be no longer be an"open clinic,"but instead should operate as a"closed clinic." In order to exercise this option, Employer must deliver 90 days prior written notice to Vera. Effective on day 90 after delivery of such notice: (a)the Clinic will only be available for use by Employer Participants (and the participants of any anchor employer added to the Clinic in accordance with F.1 above) and(b)Employer's Participants will no longer have rights to use other Vera clinics.
