"B"=Total number of Other Key Provider Visits with Employer <br /> Participants at Vera clinics other than the Clinic during preceding <br /> quarter <br /> "C"=Total number of all City Key Provider visits at the Clinic during <br /> preceding quarter <br /> "Other Employer Overuse Factor"=(A-B)/C <br /> After the first 180 days from the Services Commencement Date, if the Other Employer Overuse <br /> Factor is a positive number greater than .05 for two consecutive quarters,then Vera, within 30 <br /> days,will take some or all of the following steps : <br /> • Restrict scheduling of non-Employer persons at the Clinic with City Key Providers. <br /> • Provide additional Key Provider(s)for the Clinic at no cost to Employer <br /> • Other steps mutually agreed by Vera and Employer <br /> If at any time a City Key Provider at the Clinic is not completely paid for by Reimbursable Charges <br /> (for example, an ARNP becomes 0.75 FTE at the Clinic, with Employer paying 0.5 FTE as <br /> Reimbursable Charges and Vera or some person other than Employer paying the remaining 0.25 <br /> FTE), then Vera and Employer will reasonably adjust the calculation of the Other Employer <br /> Overuse Factor to take that into account. This adjustment will be memorialized in a letter <br /> agreement between Employer and Vera, with the Employer's HR Director signing on behalf of <br /> Employer. <br /> ii. Closed Clinic Option. In addition, Employer may at any time its sole <br /> discretion determine that the Clinic should be no longer be an"open clinic,"but instead should <br /> operate as a"closed clinic." In order to exercise this option, Employer must deliver 90 days <br /> prior written notice to Vera. Effective on day 90 after delivery of such notice: (a)the Clinic will <br /> only be available for use by Employer Participants (and the participants of any anchor employer <br /> added to the Clinic in accordance with F.1 above) and(b)Employer's Participants will no longer <br /> have rights to use other Vera clinics. <br /> G. In this Schedule, "Vera" refers to both Vera and Vera P.C., as appropriate to the context. <br /> Schedule 3, Page 4 <br />
