Vera acknowledges that Employer has concern that the Clinic will be heavily used by employees of other Vera clients,particularly because the Clinic, as of the Effective Date, appears to be the only Vera clinic in Washington north of downtown Seattle. Accordingly, Vera has agreed to the following, which were necessary for Employer to accept the Agreement: i. Remedies for Clinic overuse by Other Employers.No later than 30 days after the end of each quarter,the parties will complete the following calculation: "Key Provider"=Provider that is a M.D. or ARNP "City Key Provider" = A Key Provider that Employer pays for with Reimbursable Charges. . "Other Key Provider"=A Key Provider that is not a City Key Provider "Visit" = any in-person contact between a Key Provider and a person in a Vera clinic (such as the Clinic) that results in an entry in that person's medical records "A"=Total number of City Key Provider Visits with persons other than Employer Participants at the Clinic during preceding quarter Schedule 3, Page 3
