PPPM Fee be increased in any year at a rate that is greater than the rate of increase of June-to-June <br /> CPI-U for Seattle-Tacoma-3ellevue published by the Bureau of Labor Statistics for the prior calendar <br /> year. <br /> For example, if the change in such index for 2021 was 2.5%as published at the Bureau <br /> of Labor Statistics web site: This means that, if the Admin PPPM Fee in 2021 were $20, <br /> then maximum the Admin PPPM Fee could be increased to for 2022 would be$20.50. <br /> 5. Pro-rations;Payment Terms;Penalty. All amounts due hereunder for monthly periods shall <br /> be prorated for any partial months. Payment terms for all amounts due herein shall be due 30 days <br /> from the date of the invoice'. All payments hereunder must be made via electronic payment system <br /> arranged by Employer and yera. <br /> 6. Lease. In order to roceed with this Agreement, Vera is entering into a long-term lease for <br /> the Clinic facility. The fo of such lease will be submitted to Employer's City Attorney for pre- <br /> approval, which will not e unreasonably withheld. In order for both parties to share the risk <br /> associated with such a Ion term lease: <br /> (a) Upon term nation of this Agreement, Employer shall have the right, in its sole <br /> discretion, elect to have Vera assign the lease for the Clinic facility to Employer. <br /> If Employe exercises this right, Vera shall promptly assign the lease and all of its <br /> interest in any tenant improvements. As of the date of assignment, Vera shall have <br /> performed all of its obligations under the lease,including payment of all rent and other <br /> financial obligations due as of the date of assignment,and shall not be in default under <br /> the lease. <br /> (b) Employer as ees that in the event that prior to the third anniversary of the Effective <br /> Date of thi. Agreement either Employer terminates this Agreement pursuant to <br /> Section 9.21 )or Vera terminates this Agreement in accordance with Section 9.3,then <br /> Employer • all pay Vera an early termination fee in the amount equal to (1) if <br /> Employer .oes not elect to receive assignment of the lease, costs actually and <br /> reasonably ncurred by Vera in terminating the lease up to a maximum amount equal <br /> to 6 month. of rental payments on the lease or (2) if Employer elects to receive <br /> assignment •f the lease, costs reasonably incurred by Vera in assigning the lease up <br /> to a maxim m amount equal to 6 months of rental payments on the lease. <br /> (c) Vera agrees that in the event that Employer terminates this Agreement in accordance <br /> with Sectio 9.2(a)or Section 9.2(b),then Vera will at the written request of Employer <br /> assign the 1,ase to Employer at no charge to Employer, with Vera paying the lessor <br /> any assignMent fee that may be due under the lease. In the event of any other <br /> termination',of the lease, Vera will at the written request of Employer assign the lease <br /> to Employer,so long as Employer pays any assignment fee that may be due under the <br /> lease. <br /> Schedule 2, Page 9 <br />
